These Terms & Conditions (“Terms”) govern your access to and use of the Site and any related services (the “Services”).
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms.
You may not:
Access or use the Site for fraudulent, harmful, or illegal activity
Attempt to gain unauthorized access to any systems or data

Interfere with Site functionality (e.g., uploading malware, scraping, or reverse engineering)
We may suspend or terminate your access for any violation of these Terms.
2. No Equity or Investment Stake
Purchase of Respitely™ CareCredits™ is not an investment and do not give the purchaser an equity stake in the company or any right to future profits. CareCredits™ are not a security. Purchase of CareCredits™ are only redeemable for services upon the successful development and go-live of the Respitely platform.
3. Service Information & No Medical Advice
Respitely provides information and resources related to respite and caregiving services.
We are not a medical or healthcare provider, and the Site does not provide medical, diagnostic, or clinical advice.
Content on the Site:
Is for general informational purposes only
Should not be used as a substitute for professional medical advice, diagnosis, or treatment
Always consult with qualified professionals for health- or care-related decisions.
4. User Accounts
If you create an account, you are responsible for:
Maintaining confidentiality of your login credentials
Any activity that occurs under your account
Providing accurate, current information
We reserve the right to suspend or delete accounts at our discretion.
5. Payments
If you purchase services or products through the Site:
· Redemption of CareCredits™ is contingent upon successful platform development, geographic availability of care providers, and regulatory approvals where applicable.
· There is no guarantee that CareCredits™ will be redeemable in all areas or within a set timeline.
· Should coverage not be available in your area upon launch, Respitely™ will provide options including credit holding, transfer to another user, or extension.
· No Refunds.
All payments must be made through approved third-party payment processors
You agree to provide accurate billing information
Prices, promotions, and availability may change at any time
We do not store full credit card information.
6. Intellectual Property
All content on the Site—including text, graphics, logos, images, videos, software, and design—is the property of Respitely™ or its licensors and is protected by intellectual property laws.
You may not:
Reproduce, distribute, or modify any content
Use trademarks, branding, or copyrighted materials without permission
Limited, non-exclusive, revocable permission is granted to access the Site for personal, non-commercial use.
7. Third-Party Links
The Site may contain links to third-party websites or services.
We are not responsible for:
The content or accuracy of third-party sites
Their privacy practices, terms, or actions
Access third-party resources at your own risk.

10. Disclaimer and Limitation of Liability
Respitely™ (“Company”) provides a platform that offers information, resources, and, when applicable, referrals to independent caregivers or third-party service providers (“Care Providers”). The Company is not a medical provider, home-care agency, staffing agency, or employer of any Care Provider, nor does the Company supervise, control, or direct the actions of any Care Provider.
You acknowledge and agree that:
a. Independent Providers
Any Care Providers listed, referred, or contacted through the Site operate as independent contractors or independent third-party entities, not employees, agents, or representatives of the Company.
The Company does not:
License, certify, or guarantee the qualifications of Care Provider
Supervise or monitor caregiving activities
Control the quality, timing, safety, legality, or appropriateness of any caregiving services
b. No Guarantees or Warranties
The Company makes no representations or warranties regarding:
Service availability or scheduling
The suitability, reliability, safety, or performance of any Care Provider
The accuracy or completeness of Care Provider profiles or information provided by third parties
All caregiving services are used at your sole risk.
c. No Medical, Clinical, or Professional Care
The Company does not provide medical, nursing, clinical, therapeutic, or diagnostic services. Any information on the Site is for general informational purposes only and is not a substitute for professional medical or caregiving judgment.
d. Assumption of Risk
By using the Site or engaging any Care Provider referred or listed on the Site, you acknowledge that caregiving involves inherent risks, including but not limited to:
Property Damage
Mistakes, negligence, or misconduct by Care Providers
You voluntarily assume all risks associated with interacting with or hiring any Care Provider.
e. Company Not Liable for Care Provider Actions
To the fullest extent permitted by law, the Company is not responsible or liable for:
Any acts, omissions, negligence, misconduct, or services provided by any Care Provider
Injuries, losses, damages, or expenses arising out of caregiving interactions
Background-check failures, errors in information provided by Care Providers, or misrepresentation
Theft, property damage, personal harm, or breach of contract by any Care Provider
f. General Limitation of Liability
To the maximum extent permitted by applicable law, the Company and its officers, directors, employees, agents, and affiliates shall not be liable for any:
Physical injury, wrongful death, emotional distress, or financial loss
Indirect, incidental, consequential, punitive, special, or exemplary damages
Damages arising from your use, inability to use, or reliance on the Site or any Care Provider, even if the Company has been advised of the possibility of such damages.
g. Liability Cap
In all cases, the Company’s total aggregate liability for any claim relating to the Site or Services shall not exceed the amount paid by you, if any, for accessing the Site.
11. Indemnification
You agree to indemnify, defend, and hold harmless Respitely™ from any claims, damages, liabilities, losses, or expenses (including attorney's fees) arising out of:
Your use of the Site
Your violation of these Terms
Your violation of any rights of others
Your interactions with any Care Provider
Any claims by Care Providers or third parties related to your conduct
Loss of data, revenue, or profits
Damages arising from your use or inability to use the Site
12. Changes to Terms
We may update these Terms from time to time.
Changes will be effective upon posting with a new “Last Updated” date.
Continued use of the Site after updates means you accept the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.
Any legal action related to the Site shall be brought in the state or federal courts located in Cook County, Illinois.
14. Termination
We may suspend or terminate your access to all or part of the Site at any time for:
Violation of these Terms
Harmful or abusive behavior
Any reason at our sole discretion
Upon termination, your right to use the Site ends immediately.
